Terms of Service | ORL Studio

1. The Service

ORL STUDIO provides a subscription-based 3D design service. The Client pays a flat monthly fee to access the Designer’s services.

Workflow: All requests must be submitted through the designated project management board (Trello).
Volume: The Client may submit an unlimited number of requests to the queue. However, the Designer will focus on one (1) active request at a time (unless a different plan is agreed upon in writing).
Turnaround: The Designer aims to deliver updates every 2–3 business days. This is an average estimation, not a guarantee. Complex requests may take longer.

2. Fees and Billing

Acceptance of Subscription: Access is by invitation only to ensure dedicated capacity. Submission of an application or onboarding form does not guarantee a subscription; ORL STUDIO reserves the right to decline applicants based on studio bandwidth or project alignment.
Subscription & Auto-Renewal: Fees are paid in advance. Subscriptions renew automatically every 30 days (Project Club) or 90 days (Partner Club) unless paused or cancelled.
The Pause Feature: You may pause your subscription at any time to stop the billing cycle. Any remaining days are "banked" and preserved for future use. Service and billing resume only upon reactivation.
Expiration of Paused Days: Any unused days must be used within twelve (12) months from the date the subscription was originally paused. After 12 months, unused days expire and are non-refundable.
Termination & Non-Renewal:
- By the Client: Cancel anytime via your billing portal. Cancellation takes effect at the end of the current billing cycle.
- By ORL STUDIO: We reserve the right to terminate or decline renewal at our sole discretion via written notice.
- Effect of Termination: If terminated mid-cycle by ORL STUDIO (for reasons other than a breach of terms), a pro-rated refund for remaining days will be issued. All active design work ceases immediately upon termination.

3. Refund Policy

7-Day Guarantee: If the Client is unsatisfied with the service, they may request a cancellation within the first 7 days of the initial subscription start date. In this event, a 75% refund will be issued.
No Other Refunds: After the first 7 days, no refunds will be issued for any reason. ORL STUDIO does not refund unused time if the Client forgets to pause their subscription.

4. Intellectual Property & Ownership

Ownership: Upon full payment, the Client owns 100% of the rights to the final designs, renders, and source files created by ORL STUDIO for the Client.
Portfolio Rights: The Client grants ORL STUDIO a non-exclusive right to display the created works in their portfolio, website, and social media for promotional purposes. (If a specific project is under NDA, the NDA terms will supersede this clause).
Stock Materials: If the design includes third-party assets (e.g., stock 3D models, textures, fonts) that require a specific license, the Designer will inform the Client. The Client is responsible for obtaining those licenses if used commercially.

5. Scope of Work & Limitations

Fabrication: The Designer provides creative 3D concepts and visualizations. The Designer is NOT a licensed architect or structural engineer. The designs provided are for visual intent only. The Client is responsible for having all designs reviewed by a licensed professional before manufacturing or construction to ensure structural safety and code compliance.
Exclusions: The Service does not include video animation, VR/AR development, graphic design (branding/logos), or detailed CAD construction documents.

6. Service Availability & Studio Schedule

Standard Hours: ORL STUDIO operates Monday through Friday, excluding standard US Public Holidays.
Studio Closures: As a solo-operated studio, ORL STUDIO may observe up to six (6) weeks of scheduled time-off per calendar year.
Notice Period: Clients will be provided with at least fourteen (14) days' notice of any planned studio closures lasting more than two (2) business days.
Subscription Adjustments: During a planned studio closure, all active subscriptions will be automatically paused for the duration of the closure. Billing cycles will resume immediately upon the studio’s reopening, ensuring you do not lose any paid service days.

7. Limitation of Liability

ORL STUDIO shall not be liable for any indirect, special, or consequential damages (including lost profits) arising out of this agreement. In no event will ORL STUDIO’s total liability exceed the amount of one (1) month’s subscription fee paid by the Client.

8. Confidentiality

ORL STUDIO acknowledges that it may be exposed to the Client’s confidential information (future product launches, trade secrets, etc.). ORL STUDIO agrees to keep such information strictly confidential and not to disclose it to third parties without the Client’s consent.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

11. Acceptance

By subscribing to the service and submitting the first design request, the Client acknowledges that they have read, understood, and agreed to these terms.
